1. Introduction

Welcome to EllzTech. These Terms and Conditions (“Terms”) govern your access to and use of all software, services, websites, platforms, mobile applications, and related services provided by EllzTech (“EllzTech”, “we”, “us”, or “our”).

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree with these Terms, you must not access or use our Services.

These Terms should be read together with our Privacy Policy, Cookie Policy, and any applicable service agreement, quotation, invoice, order form, or data processing agreement.

2. Services Provided

EllzTech provides cloud-based software solutions and technology services, including but not limited to:

  • POS and inventory management systems

  • Payroll and HR management software

  • School management systems

  • Loan management software

  • Restaurant management systems

  • Custom software development services

  • Website, mobile application, and cloud-based software services

  • Related support, maintenance, hosting, and integration services

All services are delivered online unless otherwise stated in writing.

3. User Accounts

To access some Services, you may be required to create an account.

You agree to:

  • Provide accurate, current, and complete information

  • Keep your login credentials confidential

  • Be responsible for all activity under your account

  • Notify us immediately if you suspect unauthorised access to your account

  • Ensure that your authorised users comply with these Terms

EllzTech reserves the right to suspend or terminate any account that provides false information, misuses the platform, breaches these Terms, or creates a security, legal, or operational risk.

4. Subscription and Payments

4.1 Subscription Plans

EllzTech operates on a subscription-based model, which may include monthly, yearly, or custom billing arrangements depending on the selected product or service.

4.2 Payments

Payments must be made in advance using our supported payment methods, which may include Stripe, PayPal, bank transfer, or other approved payment channels.

Failure to make payment when due may result in suspension, restriction, or termination of the Services.

4.3 No Refund Policy

All payments are non-refundable unless otherwise stated in writing or required by applicable law.

Where a subscription is cancelled, the user may continue to access the paid service until the end of the current billing period, unless the account is terminated for breach of these Terms.

4.4 Price Changes

EllzTech reserves the right to change pricing, packages, or billing terms at any time.

Where practical, existing users will be notified in advance of material price changes. Continued use of the Services after the effective date of a price change constitutes acceptance of the updated pricing.

5. Free Trials

EllzTech may offer free trials for certain products or services.

Free trials are provided at our discretion and may be withdrawn, limited, or modified at any time.

After the trial period ends, users must subscribe to a paid plan to continue using the relevant Service. EllzTech may suspend or delete trial accounts that are not converted to paid subscriptions.

6. Acceptable Use

You agree not to use EllzTech Services to:

  • Violate any applicable law, regulation, or third-party right

  • Upload, store, transmit, or distribute harmful, illegal, defamatory, abusive, fraudulent, or malicious content

  • Upload viruses, malware, or harmful code

  • Attempt to hack, disrupt, overload, reverse engineer, or damage the platform

  • Gain unauthorised access to any system, account, or data

  • Resell, sublicense, copy, or misuse the software without written authorisation

  • Use the Services for spam, fraud, phishing, harassment, or unlawful surveillance

  • Interfere with the security, performance, or availability of the Services

EllzTech reserves the right to suspend, restrict, or terminate accounts that violate these rules.

7. Data Protection and Privacy

EllzTech is committed to handling personal data responsibly and in accordance with applicable data protection and privacy laws. Depending on your location, the location of your users, and the Services used, these laws may include applicable United States federal and state privacy laws, the laws of the State of Wyoming, the UK General Data Protection Regulation, the Data Protection Act 2018, the EU General Data Protection Regulation, and other applicable privacy or data protection laws.

7.1 Personal Data We Process

Depending on the Services used, we may process personal data such as:

  • Names

  • Email addresses

  • Phone numbers

  • Account login details

  • Business information

  • Employee, student, customer, borrower, or supplier records entered into the platform

  • Payment and billing information

  • Device, usage, log, and technical information

  • Support communication records

7.2 Controller and Processor Roles

For account registration, billing, marketing, website analytics, support, and our own business administration, EllzTech may act as a data controller or business responsible for determining how certain personal data is used.

Where a customer uses our software to store or manage personal data relating to their own customers, employees, students, borrowers, suppliers, or other individuals, the customer is usually responsible for that data, and EllzTech acts as a service provider, processor, or similar role on the customer’s behalf, depending on the applicable law.

Where EllzTech acts as a processor or service provider, we will process personal data only as necessary to provide the Services, comply with the customer’s documented instructions, comply with law, maintain security, and enforce applicable agreements.

7.3 Customer Responsibilities

Where you input personal data into our Services, you are responsible for ensuring that:

  • You have a lawful basis for collecting and using that data

  • You provide appropriate privacy information to the individuals concerned

  • The data you enter is accurate and lawful

  • You do not upload data you are not authorised to process

  • Your users are trained and authorised to handle personal data

  • You comply with applicable data protection, employment, education, financial, consumer, and privacy laws

You remain responsible for the content and data you enter into the Services.

7.4 Lawful Processing

EllzTech will only process personal data where there is a lawful basis to do so, such as:

  • Performance of a contract

  • Compliance with legal obligations

  • Legitimate business interests

  • Consent, where required

  • Protecting the security and integrity of our Services

7.5 Data Security

EllzTech implements appropriate technical and organisational measures designed to protect personal data against unauthorised access, loss, misuse, alteration, disclosure, or destruction.

These measures may include access controls, password protection, encryption where appropriate, backups, monitoring, secure hosting, and administrative safeguards.

However, no online system can be guaranteed to be completely secure. Users are responsible for protecting their own login credentials, devices, networks, and authorised users.

7.6 Data Backups and Data Loss

EllzTech may maintain backups for operational, security, and disaster recovery purposes.

However, users are encouraged to maintain their own backups of critical data.

To the fullest extent permitted by law, EllzTech is not liable for data loss caused by user error, unauthorised user activity, customer misconfiguration, third-party service failure, internet outages, force majeure events, or circumstances outside our reasonable control.

7.7 Data Retention

EllzTech will retain personal data only for as long as necessary for the purposes for which it was collected, including to provide the Services, comply with legal obligations, resolve disputes, maintain security, and enforce agreements.

Customer data may be deleted, anonymised, or archived after account termination, subject to our backup cycles, legal obligations, and any separate written agreement.

7.8 Data Subject Rights

Individuals may have rights under applicable data protection law, including the right to access, correct, delete, restrict, object to processing, and request portability of their personal data.

Where EllzTech acts as a processor, requests relating to customer-controlled data should usually be directed to the relevant customer. EllzTech may assist the customer in responding to valid data subject requests where required by applicable law or a written agreement.

7.9 Data Breaches

If EllzTech becomes aware of a personal data breach affecting customer data, we will take reasonable steps to investigate, contain, and remediate the breach.

Where required by applicable law, we will notify affected customers or relevant authorities within the required timeframe.

Customers are responsible for notifying their own users, employees, customers, students, borrowers, or other individuals where they are legally required to do so.

7.10 International Data Transfers

Where personal data is transferred, stored, accessed, or processed internationally, EllzTech will take reasonable steps to ensure that appropriate safeguards are in place where required by applicable data protection laws.

Such safeguards may include contractual protections, standard contractual clauses, international data transfer agreements, approved transfer mechanisms, adequacy decisions or regulations, or other lawful transfer mechanisms where applicable.

7.11 Third-Party Processors

EllzTech may use trusted third-party providers to help deliver the Services, including hosting providers, payment processors, email providers, analytics tools, communication tools, and technical support providers.

We will take reasonable steps to ensure that such providers handle personal data securely and only as necessary to provide their services.

8. Service Availability

EllzTech aims to provide reliable and uninterrupted services. However:

  • We do not guarantee 100% uptime

  • Services may be unavailable due to maintenance, updates, hosting issues, internet problems, cyber incidents, third-party failures, or technical issues

  • We may update, modify, suspend, or discontinue parts of the Services where necessary

To the fullest extent permitted by law, EllzTech is not liable for loss of profits, loss of revenue, loss of customers, business interruption, or other losses caused by downtime or service interruptions.

9. Third-Party Integrations

EllzTech software may integrate with third-party services such as:

  • Payment gateways, including Stripe and PayPal

  • Communication tools

  • External APIs

  • Cloud hosting providers

  • Analytics or reporting tools

  • Email and SMS providers

Third-party services are governed by their own terms, privacy policies, security practices, and availability standards.

EllzTech is not responsible for:

  • Failures or downtime of third-party services

  • Changes to third-party policies, pricing, or APIs

  • Data handled outside our platform by third-party providers

  • Losses caused by third-party integrations or user-authorised connections

10. Intellectual Property

All EllzTech software, source code, designs, databases, content, branding, trademarks, systems, documentation, templates, workflows, and related intellectual property are owned by EllzTech or its licensors.

Users are granted a limited, revocable, non-exclusive, non-transferable licence to access and use the Services for their intended business purposes during the active subscription period.

You may not:

  • Copy, modify, reproduce, or redistribute the software

  • Sell, rent, lease, sublicense, or commercially exploit the software without permission

  • Reverse engineer, decompile, or attempt to extract source code

  • Remove copyright, trademark, or proprietary notices

  • Use EllzTech branding without written permission

11. Customer Data and Content

Customers retain ownership of the data and content they upload or input into the Services.

By using the Services, you grant EllzTech a limited right to host, process, transmit, display, back up, and use customer data only as necessary to provide, maintain, secure, and improve the Services, comply with law, and enforce these Terms.

You warrant that you have all necessary rights, permissions, and lawful bases to upload and process customer data through the Services.

12. Confidentiality

Each party may receive confidential information from the other party.

Confidential information must not be disclosed to third parties except where required to provide the Services, comply with law, obtain professional advice, or as otherwise permitted in writing.

This obligation does not apply to information that is public, already known, independently developed, or lawfully received from another source.

13. Limitation of Liability

To the fullest extent permitted by law, EllzTech shall not be liable for:

  • Loss of profits or revenue

  • Loss of business or customers

  • Loss of goodwill or reputation

  • Data loss or corruption

  • Business interruption

  • Indirect, special, incidental, punitive, or consequential damages

  • Losses caused by third-party services, user actions, or events outside our reasonable control

Use of the Services is at your own risk.

Nothing in these Terms limits or excludes liability where it would be unlawful to do so, including liability for fraud, fraudulent misrepresentation, or any other liability that cannot be excluded under applicable law.

14. Termination

EllzTech reserves the right to suspend or terminate accounts where:

  • The user breaches these Terms

  • Payment is overdue

  • The account creates a security, legal, operational, or reputational risk

  • The user misuses the Services

  • Required by law or regulatory authority

Users may terminate their subscription at any time. No refunds will be issued unless otherwise stated in writing or required by law.

Upon termination, access to the Services may be disabled. Customer data may be deleted, exported, anonymised, or retained as required for legal, security, backup, or legitimate business purposes.

15. Custom Development Services

For custom software projects:

  • A separate agreement, quotation, invoice, or statement of work may apply

  • Timelines and deliverables are estimates unless expressly stated otherwise

  • Additional costs may apply for scope changes, new features, revisions, integrations, delays, or third-party requirements

  • Ownership of custom work will be determined by the applicable written agreement

  • Deposits, milestone payments, and development fees are non-refundable unless otherwise agreed in writing

Where there is a conflict between these Terms and a signed custom development agreement, the signed agreement will prevail for that specific project.

16. Support and Communication

EllzTech provides customer support through:

  • Email

  • Online platforms

  • Support portals

  • Other agreed communication channels

Support is provided during business hours unless otherwise stated in writing.

Support availability, response times, and service levels may vary depending on the selected plan or agreement.

17. Changes to Services and Terms

EllzTech may update these Terms from time to time.

Users will be notified of significant changes where practical. Continued use of the Services after updated Terms take effect constitutes acceptance of the updated Terms.

If you do not agree to the updated Terms, you must stop using the Services.

18. Governing Law and Jurisdiction

These Terms shall be governed by and interpreted in accordance with the laws of the State of Wyoming, United States, without regard to conflict of law principles.

Subject to any mandatory rights or protections available to consumers or users under applicable law, the state or federal courts located in the State of Wyoming, United States, shall have exclusive jurisdiction over any dispute, claim, or proceeding arising out of or relating to these Terms, the Services, or your use of the Services.

You agree to submit to the personal jurisdiction and venue of such courts for the purpose of resolving any such dispute, unless another jurisdiction is required by applicable law or agreed in writing by EllzTech.
